BY ACCESSING OR USING THE WEBSITE OR ENGAGING WITH GRANT STREET’S SERVICES, YOU ARE ACCEPTING THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT), AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT). IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE WEBSITE OR GRANT STREET’S SERVICES.

SUBJECT TO CERTAIN EXCEPTIONS, ALL DISPUTES BETWEEN GRANT STREET AND USERS OF THE WEBSITE WILL BE SUBJECT TO INDIVIDUAL MANDATORY AND BINDING ARBITRATION AS DESCRIBED IN DETAIL BELOW, WHICH MEANS THAT DISPUTES WILL NOT BE HEARD IN COURT.

Changes to the Terms

We may revise and update these Terms from time to time at our sole discretion without notice to you. The most current version of the Terms can be reviewed by clicking the “Terms of Service” hypertext link located at the bottom of our Website.  All changes are effective immediately and apply thereafter. Your continued use of the Website following the posting of a revised Terms means that you accept and agree to the new Terms. Please check this page from time to time so you are aware of any changes, as they are binding on you.

Accessing the Website

If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of these Terms, your right to use the Website will cease immediately, and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to any downloadable materials, Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by Grant Street. Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIME BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM DOES NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR AFFILIATES, LICENSORS AND SERVICE PROVIDERS, WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS.

Indemnification

You agree to defend, indemnify and hold harmless Grant Street, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including attorneys' fees) made by any third party due to or arising out of or relating to (i) your violation of these Terms, (ii) your access or use of the Website, including, but not limited to, any use of the Website’s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website, or (iii) your violation of applicable laws or regulations. You agree not to settle any matter without the prior written consent of Grant Street. We will use reasonable efforts to notify you of any such claim, action, or proceeding, if applicable.

Mandatory Arbitration

Please read this section (the “Arbitration Agreement”) carefully. It is a part of your contract with Grant Street and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER .

Grant Street maintains this Website in Pennsylvania, U.S.A. and you agree that these Terms and any legal action or proceeding relating to this Website or your use of this Website (a “Claim”) shall be governed by the laws of the Commonwealth of Pennsylvania (without reference to its choice of law rules) and the Federal Arbitration Act. In addition, you are responsible for complying with the laws of the jurisdiction from which you are accessing this Website and you agree that you will not access or use the information on this Website in violation of such laws. Unless expressly stated otherwise herein, any information submitted by you through this Website shall be deemed non-confidential and non-proprietary.

Applicability of Arbitration Agreement. All Claims (excluding claims for injunctive or other equitable relief and claims that qualify for small claims court adjudication) shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and Grant Street, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of the Website.

Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute (“Notice”) describing the nature and basis of the claim or dispute, and the requested relief. The Notice of Dispute to Grant Street should be sent to legal@grantstreet.com. The Notice should include both the mailing address and email address you would like Grant Street to use to contact you.

You and Grant Street agree that good-faith informal efforts to resolve disputes often can result in a prompt, low-cost and mutually beneficial outcome. You and Grant Street therefore agree that, after a Notice is sent but before either you or Grant Street commence arbitration, we will personally meet, via videoconference, in a good-faith effort to confer with each other and try to resolve informally any Claim covered by this Agreement. If you are represented by counsel, your counsel may participate in the conference as well, but you agree to fully participate in the conference. Likewise, if Grant Street is represented by counsel, its counsel may participate in the conference as well, but Grant Street agrees to have a company representative fully participate in the conference. The statute of limitations and any filing fee deadlines shall be tolled while the parties engage in the informal dispute resolution process required by this paragraph.

Arbitration Rules. If you and Grant Street do not reach an agreement to resolve the Claim within sixty (60) days after the Notice is received, you or Grant Street may commence an arbitration proceeding by filing a Demand for Arbitration with the American Arbitration Association (“AAA”) or, alternatively, by commencing an action in small claims court (assuming all small claims court requirements are met). If a Claim qualifies for small claims court, but a party commences an arbitration proceeding, you and Grant Street agree that either party may elect instead to have the Claim resolved in small claims court, and upon written notice of a party’s election, the AAA will administratively close the arbitration proceeding. Any dispute about whether a Claim qualifies for small claims court shall be resolved by that court, not by an arbitrator. In the event of any such dispute, the arbitration proceeding shall remain closed unless and until a decision by the small claims court that the Claim should proceed in arbitration. The arbitration will be conducted by the AAA before a single AAA arbitrator under the AAA’s rules, except as modified by this Agreement. The party that initiates AAA arbitration must arbitrate the Claims or Claims in person in Allegheny County, Pennsylvania. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Authority of Arbitrator.  The arbitrator shall have exclusive authority to (i) determine the scope and enforceability of this Arbitration Agreement and (ii) resolve any dispute related to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to, any assertion that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and Grant Street. The arbitration proceeding will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Grant Street.

Waiver of Jury Trial. YOU AND GRANT STREET HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY TO RESOLVE CLAIMS. You and Grant Street are instead electing that all Claims shall be resolved by arbitration under this Arbitration Agreement, except as specified in the Applicability of Arbitration Agreement sub-section above. There is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

Waiver of Class or Other Non-Individualized Relief. ALL DISPUTES, CLAIMS, AND REQUESTS FOR RELIEF WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR COLLECTIVE BASIS, ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER USER. If a decision is issued stating that applicable law precludes enforcement of any of this section’s limitations as to a given dispute, claim, or request for relief, then such aspect must be severed from the arbitration and brought into the Federal Courts located in Allegheny County, Pennsylvania. All other disputes, claims, or requests for relief shall be arbitrated.

30-Day Right to Opt-Out. You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to: legal@grantstreet.com, within thirty (30) days after first becoming subject to this Arbitration Agreement, which occurs upon your first use of the Website. Your notice must include your name and address, your email address, and an unequivocal statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of these Terms will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have, or may enter in the future, with us.

Severability. If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with Grant Street.

Electronic Communications

When you visit our website, or send emails to Grant Street, you are communicating with us electronically. By this action, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. ADDITIONALLY, YOU ACKNOWLEDGE THAT GRANT STREET MAY SEND ELECTRONIC COMMUNICATIONS TO YOU AT ANY TIME OF DAY. YOU HEREBY CONSENT TO RECEIVE ELECTRONIC COMMUNICATIONS FROM GRANT STREET AT ANY TIME OF DAY AND YOU WAIVE ANY CLAIMS RELATED TO THE IMPERMISSIBLE RECEIPT OF ELECTRONIC COMMUNICATIONS DURING STATUTORILY PROHIBITED HOURS.

“Drip” Pricing Claim Waiver

Certain of Grant Street’s services offered through its Website include application of credit card processing, service, or convenience fees. The fees assessed by Grant Street on specific transactions depends on the type of credit or debit card used. For every type of debit or credit card used, the processing fee will be calculated and applied as a percentage of the underlying transaction amount. Thus, the fee that will be applied by Grant Street to each individual transaction cannot be calculated until the user enters their card number, which will then initiate the application of Grant Street’s variable fee. At that point, the full price of the service will be available to the user. By making payments that are processed via the Website, you acknowledge and agree that the fee cannot be calculated until after you enter your debit or credit card number. AND, YOU HEREBY AGREE THAT YOU SHALL NOT ASSERT, AND HEREBY WAIVE, ANY CLAIM AGAINST GRANT STREET, ON ANY THEORY OF LIABILITY, FOR ANY TYPE OF DAMAGES (INCLUDING STATUTORY) AND FOR INJUNCTIVE RELIEF, ARISING OUT OF, IN CONNECTION WITH, OR AS A RESULT OF GRANT STREET’S APPLICATION OF PROCESSING, SERVICE, OR CONVENIENCE FEES.

Terms Relating to Third-Party Payers

By making payments that are processed via any of Grant Street’s clients’ public-facing websites, you have agreed to the following additional Terms.

You represent and warrant that, if the bill or payable amount is in the name of another person (“Bill Holder”), that you are either the spouse, parent, grandparent, sibling, child, or grandchild of the Bill Holder and that you have express written authorization of the Bill Holder to make payment on their behalf (“Immediate Family Member”). Under no circumstances can a Third-Party (“Third-Party”) use these Services to make payment without express written permission (“Authorization”) of the Bill Holder. A Third-Party is any party that is not the Bill Holder or an Immediate Family Member of the Bill Holder. In order for the Third-Party to use Grant Street’s Services, a copy of the Authorization (with a handwritten signature) must be provided to Grant Street, and Grant Street must confirm that the Authorization is compliant with our Authorization standards and provide its express written consent to your use of these Services before the Third-Party can make a payment on behalf of a Bill Holder. A Third-Party’s use of these Services is expressly subject to these Terms.

If Authorization is received and approved by Grant Street as set forth above, the Third-Party must use the same underlying payment method used by the Bill Holder to make payment. For example, if the Bill Holder has paid the Third-Party via a paper check or ACH, no other payment method apart from ACH (“e-check”) can be used to make payment via Grant Street’s Services. If a consumer credit card is used by the Bill Holder to pay the Third-Party, under no circumstances can a corporate, business, commercial, purchasing, or any other non-consumer credit card be used to make payment.

Any use of a fictitious, fake, or misleading email address by the Third-Party is strictly prohibited. In addition, any email address used must be the email address of the Bill Holder, and must also be an email account that the Bill Holder can access.

Third-Parties are strictly forbidden to use any of Grant Street’s services for financial gain. Grant Street reserves the right to reject or reverse any and all unauthorized payments made from Third-Parties not specifically permitted by these Terms, including this section.

Any breach of these Terms by a Third-Party may result in legal action by Grant Street, and Third-Party agrees that it will be liable for costs incurred by Grant Street, Grant Street’s customers, and Bill Holders, including, but not limited to the following: late fees and other fees, loss of early payment discounts, interest penalties, increased interchange costs, reasonable attorney fees, and all and any other costs and damages.

Third-Party further agrees to indemnify, defend, and hold harmless Grant Street and its affiliates, and their respective officers, employees, and representatives (“Indemnitees”) from and against any and all direct and indirect damages, liabilities, costs, lost revenue, lost profits and expenses, including reasonable attorneys’ fees, suffered or incurred by any of the Indemnitees as a result of the Third-Party’s use of or access to the Services or breach of this section (“Damages”).

ANY USE OF THE SERVICES BY A THIRD-PARTY CONSTITUTES THAT THIRD-PARTY’S AGREEMENT TO THESE TERMS, INCLUDING THIS SECTION. IF YOU DO NOT AGREE TO THESE TERMS OR DO NOT HAVE BILL HOLDER’S AUTHORIZATION AND GRANT STREET’S EXPRESS WRITTEN CONSENT TO USE THESE SERVICES AS PROVIDED ABOVE, DO NOT USE THESE SERVICES, OR YOU WILL BE SUBJECT TO LEGAL ACTION BY GRANT STREET FOR UNAUTHORIZED ACCESS TO GRANT STREET’S SERVICES AND SYSTEMS.

Waiver

No waiver by Grant Street of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Grant Street to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You can’t transfer your agreement to these Website Terms to someone else without Grant Street’s permission. Any attempts to do so without our consent will be void. Grant Street may assign or transfer these Website Terms to any party at any time without notice to you.

Entire Agreement

These Terms constitute the sole and entire agreement between you and Grant Street with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website. The Terms apply exclusively to your access to, and use of, this Website and they will not alter any terms or conditions of any other agreement you may enter into with Grant Street, unless there is a conflict of provisions, in which case, the other agreement you enter into with Grant Street shall govern with respect to the specific provision.

Data Breach

If you identify a potential security incident or data breach related to our systems, please report it immediately to our security team at databreach@grantstreet.com. We take all reports seriously and will investigate promptly in accordance with our security policies. For verification or further assistance, please reach out to our team directly.

Limitations of this Policy
